These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by Revenue Arc Corporation ("Revenue Arc," "we," "us," or "our"). By accessing our site or engaging our services, you agree to these Terms.
1. Who we are
Revenue Arc Corporationis an operating company with two divisions: Revenue Arc Development, which builds custom software, AI, and automation; and Revenue Arc Marketing, a white-label media partner for agencies and brands. References to "Services" include our website, software products (including ArcPlanner, ArcForesight, ArcOps, and ArcBilling), and any professional or media services we provide.
2. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account.
3. Engagements & orders
Specific work — software development, managed media, product access, or other services — is governed by a separate written agreement, statement of work, order form, or subscription plan (each, an "Order"). Where an Order conflicts with these Terms, the Order controls for that engagement. Fees, scope, and deliverables are as described in the applicable Order.
4. Acceptable use
You agree not to:
- Use the Services to violate any law or third-party right;
- Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Services or related systems;
- Reverse engineer, copy, or resell any part of the Services except as expressly permitted;
- Upload unlawful, infringing, or malicious content, or use the Services to send unsolicited communications in violation of applicable law.
5. Intellectual property
We and our licensors own all rights in the Services, including our software, platforms, designs, and brand assets. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes. Ownership of custom deliverables is governed by the applicable Order. You retain ownership of content and data you provide, and grant us the rights needed to perform the Services.
6. Third-party services
The Services may integrate with or rely on third-party platforms (for example, advertising exchanges, data providers, and payment processors such as Stripe). Your use of those services is subject to their terms, and we are not responsible for third-party products or content.
7. Fees & payment
Fees are set out in the applicable Order. Unless stated otherwise, fees are exclusive of taxes, due as invoiced, and non-refundable except as described in our Fulfillment & Refund Policy. Late amounts may be subject to suspension of Services.
8. Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any projection, forecast, or modeled result (including media performance estimates) will be achieved.
9. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability arising out of or relating to the Services will not exceed the amounts you paid to us for the Services giving rise to the claim in the twelve months preceding the event.
10. Indemnification
You agree to indemnify and hold harmless Revenue Arc Corporation and its officers, employees, and agents from claims arising out of your content, your use of the Services in violation of these Terms, or your violation of any law or third-party right.
11. Termination
We may suspend or terminate access to the Services if you materially breach these Terms or an Order. Provisions that by their nature should survive termination will survive.
12. Governing law & disputes
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles. The state and federal courts located in California will have exclusive jurisdiction over any dispute not otherwise subject to a written agreement between the parties.
13. Changes
We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance.
